Role Description & Person Specification

Board Director

Organisation: Registered Care Association (RCA) Limited, trading as East Sussex, Brighton & Hove Partners in Care.

Role Type: Volunteer, Board Member.

Remuneration: Unpaid (reasonable expenses may be reimbursed)

Location: East Sussex/Brighton and Hove / hybrid to include

Time Commitment: Approximately 6 -10 days per year.

  • 9 monthly online Board meetings, excluding August
  • Quarterly Directors-only meeting before the Executive Committee
  • 1 half-day in-person strategy review and priority-setting session
  • 1 half-day in-person Board meeting and AGM in October
  • Occasional partner meetings and preparation, where appropriate

Purpose of the Role

To provide strategic leadership, governance, and oversight to the Care Association, ensuring it fulfils its company requirements and objectives in supporting high-quality care provision (e.g. domiciliary, residential, and community care services) and representing member organisations.

Board Directors act collectively to:

  • Set the strategic direction of the organisation
  • Ensure effective governance and legal compliance
  • Safeguard the organisation’s financial sustainability
  • Promote high standards of care, ethics, and integrity across the sector

Key Responsibilities

Governance and Compliance

  • Ensure the organisation complies with all legal and regulatory requirements (e.g. company law, and sector regulations)
  • Uphold the principles of good governance and accountability
  • Monitor organisational performance against strategic objective
  • Ensure appropriate policies (e.g. safeguarding, financial, data protection) are in place and reviewed

Strategic Leadership

  • Contribute to the development and approval of the organisation’s strategy
  • Provide constructive challenge and independent judgement to executive leadership
  • Support long-term sustainability and growth of the association

Financial Oversight

  • Approve budgets, accounts, and financial plans
  • Ensure proper stewardship of funds and resources
  • Monitor financial performance and risk

Sector Representation and Advocacy

  • Act as an ambassador for the organisation and the care sector
  • Support engagement with stakeholders including providers, commissioners, regulators, and local authorities
  • Promote best practice and continuous improvement in care services

Risk Management

  • Identify and monitor key risks facing the organisation
  • Ensure appropriate mitigation strategies are in place

Board Effectiveness

  • Attend and actively participate in board/committee meetings
  • Prepare adequately for meetings and contribute to discussions
  • Maintain confidentiality and act in the best interests of the organisation

Person Specification

Essential

  • Commitment to the mission and values of the Care Association
  • Understanding of governance and the role of a Board/Committee Director
  • Strategic thinking and ability to analyse complex information
  • Strong communication and interpersonal skills
  • Integrity, sound judgement, and independence of thought
  • Willingness to devote the necessary time and effort
  • Ability to commit to in-person meetings and a minimum of six online meetings per year
  • Contribute to the Annual Reporting process

Desirable

Experience in one or more of the following:

  • Health and social care (e.g. domiciliary care, residential care, including nursing, supported living or hospice care)
  • Regulation and compliance (e.g. CQC frameworks)
  • Finance, audit, or risk management
  • HR, workforce development, or organisational leadership
  • Public policy, commissioning, or local government

Duties of a Company Director

Directors must comply with statutory duties under the Companies Act 2006, including:

  • Acting within powers
  • Promoting the success of the company
  • Exercising independent judgement
  • Exercising reasonable care, skill, and diligence
  • Avoiding conflicts of interest
  • Not accepting benefits from third parties
  • Declaring interests in transactions

Term of Appointment

  • Initial term: [1 year, up to max 5 years]
  • Eligible for reappointment (subject to Articles of Association i.e. annual elections at AGM)

Induction and Development

  • Structured induction programme provided
  • Ongoing training and development opportunities (e.g. governance, safeguarding, sector updates)

Conflict of Interest

Board members must declare any actual or potential conflicts of interest and comply with the organisation’s conflict of interest policy.

The organisation is committed to safeguarding and promoting the welfare of vulnerable adults. Board members share responsibility for ensuring safeguarding is embedded in governance and oversight.
